Procedures for Establishing Partnership Company

As a company form the oldest in human history, the partnership is always mentioned first in the statutes or the study of the company.Under the current law of Vietnam, the partnership was associated with a different company forms are simple syndication company to co-called "partnership".

Article 130 defines the Enterprise Law: A partnership is a business, including:

- Must have at least two members of the joint owners of the company, the business together under a common name (hereinafter referred to as members of the partnership); Besides the members of the partnership may be contributing members;

- General partner is personally responsible with their entire property for the obligations of the company;

- Limited partners are only responsible for the debts of the company within the amount of capital contributed to the company;

- A partnership with legal personality from the date of issuance of the certificate of business registration;

- A partnership may not issue any securities.

PROCEDURE FOR ESTABLISHMENT OF PARTNERSHIP

1. Request for business registration (Form)

2. Draft charter companies are all members of the partnership signed on each page.

3. List of members (form) and the following attached documents:

* Personal identification document valid for all members, legal representatives:

- For Vietnam domestic citizens: Copy of a valid identity card (or passport) valid;

- For Vietnam Persons residing abroad: valid copy of the passport, the document certifying the origin Vietnam as prescribed;

- For foreigners residing in Vietnam: A copy of a valid passport, permanent resident card issued by the competent authorities of Vietnam.

* If the limited partners is organized:

- A copy of the establishment decision;

- Certificate of business registration or other equivalent document; - Charter or other equivalent document;

- Copy of a valid one of the personal identification papers valid theokhoan 3.1 cuanguoi authorized representative and corresponding authorization decision.

4. If the applicant is not a founding member of the company:

- To present the ID card (or passport or other legal personal identification under paragraph 3.1) a valid and authorized documents of the applicant instead be certified by the local government or the State notaries.

Note

1. For enterprise business lines requiring legal capital, the accompanying business registration documents are also required written confirmation of the legal capital of agencies and organizations authorized.

2. For enterprises with business lines requiring practicing certificate must have a valid copy of the practicing certificate of partnership members, the Director (CEO) and other individuals ( ID card attached) hold managerial posts by the charter company regulations.
